# Terms of Use

**Operator:** Connect2Pakistan (“C2P”, “we”, “us”, or “our”)
**Platform:** the Connect2Pakistan B2B export marketplace website and related panels
These Terms govern access to and use of the Platform by buyers, suppliers (exporters), staff, and visitors. By creating an account, posting an RFQ, listing products, or otherwise using the Platform, you agree to these Terms.
> This document is a standard operating template for the Platform. It is not a substitute for legal advice. Local counsel should review it for your jurisdictions before treating it as final.
## 1. Who we are and what we do
Connect2Pakistan provides an online B2B marketplace that helps international buyers discover Pakistani exporters, request quotes (RFQs), message counterparties, and manage commercial orders. Depending on marketplace mode and verification status, supplier portal features may be limited to verified exporters.
We may act as a commercial facilitator or operator in order flows (including invoicing and payment collection in certain phases). We are **not** a manufacturer, freight forwarder, customs broker, bank, or insurer unless we expressly say so in writing for a specific service.
## 2. Eligibility and accounts
- You must be able to form a binding contract under applicable law (typically 18+).
- Business accounts must be opened by an authorised representative of the organisation.
- You are responsible for safeguarding login credentials and for activity under your account.
- You must provide accurate registration and profile information and keep it current.
- We may suspend or terminate accounts that are incomplete, misleading, inactive, or abusive.
## 3. Roles on the Platform
- **Buyers** may browse listings, shortlist products, post RFQs, message suppliers, place or accept quote orders, and use buyer panel tools.
- **Suppliers / exporters** may maintain organisation profiles and product listings (subject to verification and portal rules), respond to RFQs, and fulfil accepted orders.
- **Staff / owner** accounts administer the Platform and are not ordinary marketplace counterparties.
Nothing in the Platform creates an employment, partnership, or agency relationship between you and us, except where we expressly act as operator for payment or invoicing.
## 4. Listings, RFQs, quotes, and orders
- Product information, prices, MOQs, lead times, Incoterms, and certifications are supplied by exporters unless marked otherwise. Buyers must independently verify fitness for purpose, regulatory compliance, and landed cost.
- RFQs and quotes are commercial communications. A binding contract for goods arises only when the parties accept terms through the order flow (or another written agreement they execute).
- We may refuse, edit, or remove listings or RFQs that violate law, these Terms, or Platform policies (including verification and quality rules).
- Multi-supplier carts may be restricted; quote checkout may require a single exporter per order.
## 5. Payments, fees, and settlements
- Where payment is taken on the Platform (for example via card processors such as Stripe), you authorise charges for the amounts shown at checkout or in the order panel, including any disclosed platform or processing fees.
- Currency conversion, charge currency locks, and FX notes shown in the order panel form part of the commercial terms for that order when accepted.
- Supplier settlements, payouts, and any Connect account features are subject to separate operational rules, verification, and applicable payment-provider terms.
- Taxes, duties, freight, insurance, and banking fees are generally the responsibility of the parties under the agreed Incoterms unless an order expressly states otherwise.
## 6. Shipping, delivery, and risk
Logistics are arranged between buyer and supplier (and any carriers they appoint) according to the order’s Incoterms and shipping details. Risk of loss and insurance obligations follow those Incoterms and applicable law. Tracking information shared on the Platform is informational.
## 7. Verification and trust signals
“Verified”, “Gold verified”, and similar badges reflect Platform checks described in the supplier dossier. They are **not** a guarantee of product quality, on-time performance, legal compliance in your market, or creditworthiness. Buyers remain responsible for due diligence, inspections, and contracts appropriate to their risk.
## 8. Acceptable use
You must not:
- Misrepresent identity, company affiliation, certifications, capacity, or verification status
- Upload malware, scrape the Platform abusively, or interfere with security or availability
- Infringe intellectual property or confidentiality obligations
- Use the Platform for unlawful goods, sanctions evasion, fraud, or deceptive trade practices
- Harass users or misuse messaging for spam
We may investigate and take action including content removal, feature limits, and account suspension.
## 9. Intellectual property
The Platform’s branding, software, design, and curated content are owned by us or our licensors. You receive a limited, revocable licence to use the Platform for legitimate B2B sourcing and selling. You retain rights in content you upload, and grant us a licence to host, display, and process it to operate the marketplace.
## 10. Confidentiality and messages
Treat RFQs, quotes, and message attachments as confidential business information belonging to the disclosing party, except where already public or required to be disclosed by law. Do not use another party’s materials outside the intended transaction without permission.
## 11. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free service, or that listings or user content are accurate or complete.
## 12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM USE OF THE PLATFORM OR TRANSACTIONS BETWEEN USERS. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE PLATFORM IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) FEES YOU PAID TO US FOR PLATFORM SERVICES IN THAT PERIOD OR (B) USD 100. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent allowed.
## 13. Indemnity
You agree to indemnify and hold harmless Connect2Pakistan and its personnel from claims, losses, and expenses (including reasonable legal fees) arising from your content, your products or purchases, your breach of these Terms, or your violation of law or third-party rights.
## 14. Suspension and termination
We may suspend or end access immediately for breach, legal risk, non-payment, or Platform integrity. You may stop using the Platform at any time. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) survive termination.
## 15. Changes
We may update these Terms by posting a revised version on the Platform and updating the “Last updated” date. Material changes may also be notified in-product. Continued use after the effective date constitutes acceptance.
## 16. Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, unless mandatory local law requires otherwise. Courts of England and Wales have exclusive jurisdiction, subject to any non-waivable consumer or local protections that apply to you.
